By engaging our services, purchasing hardware, subscribing to our digital or communication solutions, or interacting with our website, you (“the Client”, “you”, “your”) acknowledge that you have read, understood, and entirely agree to be bound by the terms detailed within this comprehensive document.
We have written these terms to ensure a transparent, fair, and reliable partnership between our technical team and your business or personal endeavours. If you are entering into this Agreement on behalf of a company, corporation, or other legal entity, you represent that you possess the authority to bind such entity to these Terms. If you do not hold such authority, or if you do not agree with any provision of these Terms, you must not accept this Agreement and may not utilise our services. We reserve the right to amend, update, or alter these Terms periodically. We will notify active clients of substantial changes; however, it remains your responsibility to review this document periodically for any modifications.
2. Definitions and Interpretation
To ensure absolute clarity and prevent miscommunication throughout this document, the following terms shall carry the specific meanings outlined below:
- “Agreement” refers collectively to these Terms and Conditions, alongside any specific Service Level Agreements (SLAs), accepted quotations, invoices, or project proposals agreed upon by both parties.
- “Client” refers to the individual, business entity, partnership, or organisation utilising the services or purchasing the goods provided by Com Cubed Computers.
- “Services” encompasses the entire spectrum of IT support, consultation, network installation, hardware procurement, communication solutions, cloud services, and any other technical assistance provided by our team.
- “Hardware” refers to physical equipment, including but not limited to desktop computers, laptops, servers, routers, switches, cabling, and VoIP telephony devices supplied or maintained by us.
- “Software” means any operating systems, cloud-based applications (like Office 365), security programs, or third-party platforms supplied, installed, or managed by us.
- “Managed IT Support” means ongoing, contracted technical support services provided for a recurring fee under a specific Service Level Agreement.
- “Pay & Go IT Support” refers to ad-hoc, break-fix, or on-demand services provided without a recurring monthly contract, billed at our standard hourly or fixed-task rates.
- “Force Majeure” means any event beyond the reasonable control of the Company, including but not limited to natural disasters, acts of government, internet service provider failures, labour disputes, or systemic infrastructure outages.
3. Comprehensive Description of Services
Com Cubed Computers is a full-service technology provider. The specific parameters, limitations, and expectations for our primary service categories are detailed below.
3.1 IT Support and Consultation
- Managed IT Support: Clients engaging in Managed IT Support are subject to a separate Service Level Agreement (SLA) which explicitly outlines response times, operational hours, and covered hardware. Under this model, we proactively monitor systems, perform routine maintenance, and provide prioritised technical support.
- Pay & Go IT Support: For clients requiring flexible assistance, we offer Pay & Go services. These are subject to technician availability and are billed strictly on a time-and-materials basis. While we strive for swift responses, Pay & Go clients do not receive the guaranteed response times reserved for Managed IT clients.
- Consultation and IT Support Calculator: Any advice, digital roadmaps, or budgetary estimates provided during IT consultations or via our IT Support Calculator are given in good faith based on the information provided by the Client. Estimates are subject to change upon a full physical audit of the Client’s systems.
- IT Projects: Large-scale deployments (e.g., server migrations, office relocations) will be governed by a specific Project Proposal. Any deviation from the agreed project scope requested by the Client will incur additional charges and potential timeline extensions.
3.2 IT Solutions and Infrastructure
- Networks & Cabling: We design, install, and certify physical network infrastructures. The Client is responsible for ensuring the premises are structurally sound and free from hazardous materials (such as asbestos) prior to installation. We are not liable for delays caused by third-party contractors or structural limitations discovered during cabling.
- Wi-Fi Solutions: While we utilise enterprise-grade equipment to optimise wireless coverage, Wi-Fi performance can be affected by environmental factors (e.g., thick walls, interference from neighbouring networks, heavy machinery). Therefore, we cannot guarantee absolute, flawless coverage in every square inch of a facility unless a comprehensive, paid wireless site survey has been conducted and executed to our exact specifications.
- Hardware Procurement: We source physical IT equipment on behalf of clients. Lead times for hardware delivery are entirely dependent on global supply chains and manufacturer availability. We cannot be held liable for delayed project timelines stemming from third-party hardware shipping delays.
3.3 Communication and Connectivity
- Broadband (FTTP & FTTC): Fibre to the Premises (FTTP) and Fibre to the Cabinet (FTTC) services are provisioned through third-party wholesale networks (e.g., Openreach). Installation dates, speed fluctuations, and network downtimes are often dictated by these infrastructure providers. We provide maximum estimated speeds based on line tests; however, actual speeds are not legally guaranteed and may fluctuate.
- Fixed Wireless Broadband & Leased Lines: Dedicated connectivity solutions are subject to extensive site surveys. In the event a site survey reveals that a Leased Line or Fixed Wireless solution is physically unviable, we reserve the right to cancel the order without penalty. Leased Lines come with specific, separate SLAs detailing uptime guarantees.
- VoIP Phone Systems: Voice over Internet Protocol (VoIP) telephony relies entirely on the stability of your underlying internet connection. If your internet fails, your phones will not work. Crucially, in the event of a power outage or internet failure, VoIP systems cannot be used to contact emergency services (999/112). The Client acknowledges this limitation and agrees to maintain alternative methods for emergency contact.
3.4 Cloud Services and Security
- Office 365 and Cloud Services: We act as a reseller and administrator for cloud solutions like Microsoft Office 365. The availability and functionality of these platforms are governed by the respective vendor’s Terms of Service.
- Email Security and Continuity: We deploy robust security filters to minimise spam, phishing, and malware. However, the cybersecurity landscape is constantly evolving. We do not guarantee 100% prevention of malicious emails.
- Risk Compliance: While our security implementations are designed to assist you in meeting regulatory compliance (such as GDPR), the ultimate legal responsibility for data protection, industry compliance, and risk management rests entirely with the Client.
4. Financial Terms, Payments, and Invoicing
A healthy business relationship relies on clear financial expectations. The following financial terms apply to all transactions unless expressly modified in writing via a custom contract.
4.1 Payment Terms
- Standard Terms: For ad-hoc repairs, Pay & Go support, and one-off IT projects, payment is due entirely upon completion of the service. Equipment will not be released back to the Client, nor will administrative passwords be handed over, until the final invoice is settled in full.
- Deposits for Hardware: Due to the high cost of enterprise networking equipment, servers, and computer parts, Com Cubed Computers strictly requires a deposit before procuring hardware on your behalf. Typically, this deposit covers the full cost of the hardware itself, with labour billed upon installation.
- Business Accounts (Net-30): Established business clients operating under Managed IT contracts or approved credit accounts may be granted Net-30 payment terms. This means invoices must be paid within 30 days of the invoice date. Credit terms are a privilege and are subject to periodic review and credit checks.
4.2 Accepted Payment Methods
We accept payments via major credit/debit cards, direct bank transfer (BACS), and automated Direct Debit mandates for recurring Managed Service contracts. Cash payments are accepted at our physical location solely for small, ad-hoc retail purchases.
4.3 Late Payments and Debt Recovery
Timely payment is essential for the continuous provision of our digital services. If a Client fails to make a payment by the due date:
- We reserve the right to suspend all ongoing services, including VoIP telephony, cloud backups, managed IT support, and broadband connectivity, until the account balance is cleared. We are not liable for any business disruption or financial loss you incur due to service suspension stemming from non-payment.
- In accordance with the Late Payment of Commercial Debts (Interest) Act 1998, we reserve the right to apply statutory interest on all overdue balances.
- If an account remains in default, we may transfer the debt to a third-party collection agency or pursue legal action. The Client will be held entirely responsible for all legal fees, administrative costs, and debt collection charges incurred during this process.
5. Warranties, Guarantees, and Exclusions
Because the technology sector relies heavily on third-party manufacturers, software developers, and external infrastructure, our warranty policies must be distinctly categorised.
5.1 Lack of Implicit Warranties
Due to the highly customised nature of IT environments, we do not publish blanket warranties or generic guarantees directly on our website. Every repair, project, and hardware sale is unique. For specific, legally binding details regarding the warranty of a recent repair, or the guarantee on a specific piece of purchased hardware, the Client must proactively get in touch with our team directly.
5.2 General Hardware Warranties
As a general operational rule, any physical hardware purchased through Com Cubed Computers is covered strictly by the original manufacturer’s warranty (e.g., Dell, HP, Cisco, Ubiquiti). We act solely as a facilitator for this hardware.
- If a part fails within the manufacturer’s warranty period, we will assist you in processing the Return Merchandise Authorisation (RMA).
- However, our labour time required to diagnose the faulty hardware, physically remove it, manage the return, and reinstall the replacement part is not covered by the manufacturer and will be entirely billable to the Client at our standard rates, unless the Client holds a comprehensive Managed IT Support contract that specifically includes hardware replacement labour.
5.3 Service and Labour Guarantees
We take immense pride in our technical expertise. If an issue we were contracted to resolve recurs shortly after our intervention due to an error on our part or a failure to implement a permanent fix, we encourage you to contact our team immediately. Decisions regarding complimentary rework or refunded labour are made strictly on a case-by-case basis by our management team, requiring direct communication from the Client.
6. Data Liability, Backup Responsibilities, and Security
In the digital age, data is the most valuable asset a business or individual possesses. The responsibility for securing this data is a shared endeavour, but the ultimate liability rests with the owner of the data.
6.1 The Client's Explicit Responsibility
Before handing over any physical device (desktop, laptop, server, mobile device) for repair, or before our technicians commence any substantial network upgrade, software migration, or remote support session, it is the Client’s explicit and absolute responsibility to ensure a comprehensive, verified backup of all their data exists. During the course of routine hardware diagnostics, virus removals, or operating system repairs, unpredictable hardware failures can occur. Hard drives can suddenly fail, data sectors can corrupt, and unrecoverable data loss can happen through no fault of our technicians.
6.2 Our Assistance with Data Liability
While the responsibility is yours, Com Cubed Computers actively seeks to assist our clients in protecting their livelihoods.
- We offer comprehensive Cloud Backupsolutions as part of our core services. We strongly encourage all clients to subscribe to these automated systems.
- If you are unable to back up your data before a repair, you must explicitly inform our technicians beforewe begin work. We can offer a temporary, localised data backup service for an additional fee to secure your files before proceeding with risky repairs.
6.3 Absolute Limitation of Liability for Data Loss
Regardless of whether a Client utilises our Cloud Backup services or requests our manual data backup assistance, Com Cubed Computers shall not be held legally or financially liable, under any circumstances whatsoever, for the loss, corruption, alteration, or exposure of any Client data. We do not cover the cost of third-party forensic data recovery services, nor do we compensate for lost business revenue, intellectual property loss, or emotional distress resulting from vanished data. You utilise our repair and system integration services with the full understanding of this risk.
7. Abandoned Equipment Policy
We operate a busy technical workshop and simply do not have the physical space to store customer equipment indefinitely. Therefore, we strictly enforce the following Abandoned Equipment Policy:
- Completion Notice: Once a repair is complete, a diagnostic is finished, or a device is deemed unrepairable, we will notify the Client via the email address and phone number provided at check-in.
- Storage Period: The Client has sixty (60) calendar days from the date of the initial notification to pay any outstanding invoices in full and physically collect their equipment from our premises.
- Final Warning: If the equipment is not collected within 45 days, we will issue a final written or telephonic warning to the Client.
- Abandonment and Disposal: If 60 calendar days pass without payment and collection, or if the Client fails to make alternative arrangements with our management team, the equipment will be officially classified as “Abandoned.”
- Right of Disposal: Com Cubed Computers reserves the legal right to assume absolute ownership of abandoned equipment. We may, at our sole discretion, securely wipe all data from the device, recycle it through appropriate e-waste channels, use it for spare parts, or sell it to recover our lost labour costs, diagnostic time, and physical storage fees. The Client forfeits all rights to the equipment and any data contained within it after the 60-day period expires.
8. Refund and Cancellation Policy
Because our business model blends physical hardware sales, intangible digital services, and customised labour, we do not operate a generic “one-size-fits-all” refund portal.
8.1 Requesting a Refund or Cancellation
Details regarding refunds, the return of purchased hardware, or the cancellation of an impending on-site service call or IT Project are not standardised on this website. For all inquiries regarding financial returns or project cancellations, the Client must get in touch with our team directly via phone or email.
8.2 General Operational Guidelines for Returns
While specific outcomes require team contact, clients should be aware of our general operational stance to manage expectations:
- Custom IT Projects: Large projects require vast amounts of planning, procurement, and labour scheduling. Cancelling an IT project after signing the proposal and paying the deposit usually incurs a cancellation fee to cover administrative time, restocking fees for ordered hardware, and lost scheduling time.
- Software Licenses: Cloud services, Office 365 licenses, and security software subscriptions are generally non-refundable once activated, as we are billed directly by the vendor upon provisioning.
- Hardware Returns: If a Client wishes to return a functional piece of hardware because they simply changed their mind, the acceptance of this return is entirely at our discretion. If accepted, it will invariably be subject to a significant restocking fee, and the item must be in its original, unopened packaging.
9. Acceptable Use Policy for Connectivity and Cloud Services
For clients utilising Com Cubed Computers to provide Broadband (FTTC/FTTP, Leased Lines, Fixed Wireless), VoIP Phone Systems, or Hosted Cloud Services, you agree to adhere strictly to this Acceptable Use Policy (AUP).
You may not use our networks, internet connections, or cloud servers to:
- Engage in Illegal Activity:Transmit, store, or distribute any material that violates the laws of Northern Ireland, the wider United Kingdom, or international treaties. This includes, but is not limited to, distributing copyrighted material without permission, hosting child exploitation material, or facilitating illegal drug transactions.
- Generate Spam:Send unsolicited bulk email, SMS messages, or VoIP calls (robocalls). We maintain a zero-tolerance policy for network abuse that results in our IP addresses being blacklisted.
- Compromise Security:Attempt to bypass the security mechanisms of our network, launch Denial of Service (DoS) attacks, distribute malware, ransomware, or Trojans, or attempt unauthorised access into third-party systems using our infrastructure.
- Degrade Network Performance:Consume excessive bandwidth or system resources in a manner that negatively impacts the network experience of our other clients (applicable specifically to shared broadband and wireless environments).
Failure to comply with this AUP will result in the immediate, unnotified suspension or permanent termination of your communication and cloud services.
10. Client Responsibilities and Obligations
A successful IT partnership requires cooperation. To enable us to deliver our Services effectively, the Client agrees to:
- Provide Access: Grant our technicians timely, safe, and unhindered physical access to your premises, server rooms, and equipment during scheduled visits.
- Provide Remote Access: Allow our software tools and technicians to access your network remotely for troubleshooting, monitoring, and patch management.
- Maintain the Environment: Ensure that servers and networking equipment are housed in an appropriate physical environment (e.g., adequately cooled, secure, free from excessive dust, and supplied with stable electrical power).
- Designate a Contact: Appoint a primary point of contact within your organisation who holds the authority to approve technical changes, authorise purchases, and provide system passwords to our team.
- Software Licensing: Ensure that all software currently installed on your systems (not provided by us) is entirely legal, licensed, and legitimate. We will not support, migrate, or interact with pirated or illegally obtained software.
11. Intellectual Property Rights
All intellectual property rights, copyrights, trademarks, and patents associated with the original methodologies, custom scripts, network designs, and proprietary documentation created by Com Cubed Computers during the execution of our services remain the sole and exclusive property of Com Cubed Computers.
The Client is granted a non-exclusive, non-transferable, royalty-free license to utilise any custom network designs or configuration documentation provided by us strictly for their internal business operations. You may not sell, distribute, or replicate our proprietary intellectual property without explicit, written consent from our management.
Conversely, we acknowledge that all Client data, corporate logos, proprietary databases, and internal intellectual property remain entirely the property of the Client.
12. Confidentiality and Non-Disclosure
In the course of providing IT Support, Risk Compliance audits, and Cloud Backup services, Com Cubed Computers will inevitably be exposed to the Client’s highly sensitive, confidential, and proprietary business information.
We pledge to maintain the utmost confidentiality regarding all Client data. Our technicians, staff, and contractors are bound by strict non-disclosure agreements. We will not use, copy, reproduce, disclose, or distribute any of your confidential information to any third party for any reason, except as expressly required to perform the IT services you requested, or if we are legally compelled to do so by a valid court order or law enforcement agency in Northern Ireland.
13. Limitation of Liability
This section severely limits the financial and legal liability of Com Cubed Computers. Please read it carefully.
To the maximum extent permitted by applicable law, under no circumstances shall Com Cubed Computers, its directors, employees, partners, or suppliers be held liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Services, Hardware, or Software.
This sweeping limitation of liability includes, but is not entirely limited to:
- Loss of current or anticipated business profits.
- Loss of revenue, goodwill, or business reputation.
- Loss of, corruption of, or unauthorised access to data, databases, or software environments.
- Business interruption, operational downtime, or the inability to utilise telecommunications systems.
- Costs associated with procuring substitute goods, software, or IT services.
Financial Cap: In the event that Com Cubed Computers is found legally liable for any direct damages despite the clauses above, our total cumulative liability to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be strictly limited to the total amount you have paid to Com Cubed Computers for the specific service, hardware, or project that directly gave rise to the claim during the three (3) months immediately preceding the incident.
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from any cause that is beyond our reasonable control (Force Majeure), including cyber-warfare, catastrophic ISP outages, severe weather, or supply chain blockades.
Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our direct negligence, or for fraud or fraudulent misrepresentation.
14. Term, Termination, and Suspension
The duration of your relationship with us depends entirely on the services utilised.
- Ad-Hoc Services: For Pay & Go clients, this Agreement applies to each individual transaction and service call.
- Managed Services: For clients on ongoing Managed IT, Cloud Backup, or Broadband contracts, the initial term and renewal periods will be explicitly defined in your specific Service Level Agreement.
Termination for Convenience: Ongoing contracts generally require a minimum of thirty (30) to ninety (90) days’ written notice to terminate, as detailed in your specific SLA. Termination for Cause: We reserve the right to immediately terminate or suspend our services, without prior notice or financial penalty, if you:
- Fail to pay overdue invoices despite written warnings.
- Commit a material breach of these Terms and Conditions or the Acceptable Use Policy.
- Become insolvent, enter into liquidation, or declare bankruptcy.
- Exhibit abusive, threatening, or highly unprofessional behaviour toward our technicians or staff members.

15. Severability, Waiver, and Entire Agreement
If any provision, clause, or paragraph of these Terms is deemed by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that specific provision shall be modified to the minimum extent necessary to make it valid, or severed from the document entirely. The invalidity of one clause shall not affect the validity, legality, and enforceability of the remaining provisions, which will remain in full force and effect.
Our failure to strictly enforce any right, clause, or provision of these Terms at any given time shall not constitute a legal waiver of those rights. We maintain the right to enforce these Terms at a later date.
These Terms and Conditions, along with our Privacy Policy and any customised Service Level Agreements signed by both parties, constitute the entire agreement between the Client and Com Cubed Computers regarding our services. They supersede and replace any prior agreements, oral representations, or preliminary understandings we might have had.
16. Governing Law and Jurisdiction
Com Cubed Computers is a business headquartered in Derry. Therefore, these Terms and Conditions, and any dispute, controversy, or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims), shall be exclusively governed by, interpreted, and construed in accordance with the laws of Northern Ireland.
By engaging our services, you irrevocably agree that the courts of Northern Ireland shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement. We operate and direct our services primarily within the UK and the Republic of Ireland, but the legal framework governing our contracts remains firmly rooted in Northern Irish jurisdiction.
